1. Acceptance

These Terms of Use govern your access to artiviainc.com and its subdomains (the "Site"), operated by ARTiViA Inc., a Delaware corporation ("ARTiViA," "we," "us"). By using the Site you agree to them. If you do not agree, do not use the Site.


These Terms of Use do not govern ARTiViA's services. Services are provided solely under a separate written agreement signed by ARTiViA and the client. Nothing on this Site is an offer to contract, a quotation, or a commitment to perform.


2. Permitted use

You may view and download Site content for your internal business evaluation of ARTiViA's services. You may not: copy, republish, or redistribute Site content; scrape, crawl, or harvest data except as permitted by our robots.txt; reverse engineer or interfere with the Site; use the Site to develop a competing service; upload malicious code; or misrepresent your identity or affiliation.


3. Site content and intellectual property

The Site, and all text, graphics, logos, and design on it, are owned by ARTiViA or its licensors and protected by intellectual property law. The ARTiViA name and logo are our trademarks. No licence is granted except as stated in Section 2.


4. Submissions

If you send us feedback, suggestions, or ideas through the Site, you grant us an unrestricted, royalty-free right to use them without obligation to you.

 

5. No warranty; no reliance

The Site is provided "as is." We make no warranty that Site content is accurate, complete, or current. Nothing on the Site is professional advice. Do not rely on it for any decision without confirming with us in writing.


6. Limitation of liability

To the maximum extent permitted by law, ARTiViA is not liable for any damages arising from your use of the Site. Our aggregate liability under these Terms of Use will not exceed USD $100.


7. Third-party links

The Site may link to third-party sites. We do not control them and are not responsible for them.


8. Privacy

Our Privacy Policy at artiviainc.com/privacy describes how we handle personal information.


9. Changes

We may change these Terms of Use by posting a revised version with a new effective date. Changes apply to Site use after posting.


10. Governing law and venue

These Terms of Use are governed by the laws of the State of Delaware, without regard to conflict of laws rules. Any dispute will be brought exclusively in the state or federal courts located in [COUNTY, STATE], and you consent to that jurisdiction.
